YOU UNDERSTAND THAT BY AGREEING TO THESE TERMS, YOU AND MONIEPEDIA MEDIA LIMITED ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

The arbitration will be administered by a recognized arbitration body in Nigeria in accordance with its arbitration rules then in effect, except as modified by this arbitration agreement. The arbitration will be conducted in English language. The arbitrator will have the power to rule on any challenge to their own jurisdiction or to the validity or enforceability of any portion of this arbitration agreement.

The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. YOU AND MONIEPEDIA MEDIA LIMITED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and MoniePedia Media Limited agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void.

13.3 Arbitration Costs

Payment of all filing, administration, and arbitrator fees will be governed by the arbitration body’s rules, unless otherwise stated in this arbitration agreement. If you demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, we will pay as much of the filing, administration, and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive.

13.4 Exceptions to Arbitration

Notwithstanding the above, either party may bring an individual action in small claims court if the claim falls within that court’s jurisdiction and proceeds on an individual (non-class) basis. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

13.5 Time Limitation on Claims

YOU AGREE THAT ANY CLAIM YOU MAY HAVE ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR WEBSITE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM AROSE; OTHERWISE, YOUR CLAIM IS PERMANENTLY BARRED.

13.6 Severability

If any portion of this Dispute Resolution and Arbitration section is found to be unenforceable or unlawful for any reason, the unenforceable or unlawful provision shall be severed from these Terms, and severance of the unenforceable or unlawful provision shall have no impact on the validity and enforceability of any of the remaining provisions of this section or the remainder of these Terms.

14. Governing Law and Jurisdiction

You also agree to abide by all applicable local, state, national, and international laws and regulations with respect to your use of our website.

15. No Refunds

16. General Provisions

16.1 Waiver

NO WAIVER BY MONIEPEDIA MEDIA LIMITED OF ANY BREACH OF THESE TERMS SHALL BE DEEMED A WAIVER OF ANY SUBSEQUENT BREACH.

16.2 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. Any attempted assignment, transfer, or delegation in violation of this provision shall be null and void.

16.4 Force Majeure

WE SHALL NOT BE LIABLE FOR ANY DELAY OR FAILURE TO PERFORM RESULTING FROM CAUSES OUTSIDE OUR REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, WAR, TERRORISM, RIOTS, EMBARGOES, ACTS OF CIVIL OR MILITARY AUTHORITIES, FIRE, FLOODS, ACCIDENTS, PANDEMICS, EPIDEMICS, STRIKES OR SHORTAGES OF TRANSPORTATION FACILITIES, FUEL, ENERGY, LABOR, OR MATERIALS, OR FAILURE OF TELECOMMUNICATIONS OR INFORMATION SERVICES.

These Terms are written in English. If these Terms are translated into any other language, the English language version shall prevail in the event of any inconsistency or dispute about interpretation.
